The SEC requires that an individual looking to invest in a Pre-IPO company be an accredited investor.

ACCREDITED INVESTOR CRITERIA
In 2016, the U.S. Congress modified the definition of an accredited investor to include registered brokers and investment advisors. Also, if a person can demonstrate sufficient education or job experience showing his professional knowledge of unregistered securities, he too can qualify to be considered an accredited investor.
For Bridgeview Venture Partners to open discussions with any client, the client must meet the basic criteria of an "Accredited Investor". Though subject to additional scrutiny and verification, regulations allow us to rely on a submission by a protective client's self-certification as an Accredited Investor.
